User License Agreement

This User License Agreement (“Agreement”) is a legal contract between you (either an individual or single entity), referred to as the “End User,” and XLTOOL, the creator and owner of the software accompanying this Agreement, including all related files, updates, upgrades, modifications, enhancements, and documentation (collectively the “Software”).

By downloading, installing, copying, or using the Software, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you do not accept these terms, do not install or use the Software.

Title and Ownership

The Software is licensed, not sold. Title, copyright, intellectual property rights, and ownership of the Software remain exclusively with XLTOOL. This Agreement does not transfer any ownership to you.

This license grants you a non-exclusive, non-transferable right to use the Software on a single computer or workstation. Each separate installation on an additional computer requires its own licensed copy.

Copyright and Restrictions

The Software is protected by Indian copyright laws and international treaties. You agree not to:

• Modify, adapt, translate, or create derivative works based on the Software.
• Decompile, disassemble, reverse engineer, or attempt to derive source code from the Software.
• Rent, lease, sublicense, distribute, or transfer the Software without XLTOOL’s prior written consent.
• Use any part of the Software beyond what is expressly authorized in this Agreement.

You may make one (1) copy of the Software solely for backup or archival purposes, which must include all original copyright notices.

Limited Warranty and Disclaimer

XLTOOL provides the Software “as is” without warranties of any kind. XLTOOL does not warrant that the Software will meet your requirements or that operation will be uninterrupted or error-free. The warranty does not cover:

• Any media or documentation subjected to misuse, accident, or alteration.
• Any Software that has been modified without XLTOOL’s written approval.

Limitation of Liability

To the fullest extent permitted by law, XLTOOL shall not be liable for any special, incidental, indirect, consequential, or punitive damages. This includes, without limitation, loss of business profits, business interruption, loss of business information, or any other pecuniary loss arising from the use or inability to use the Software, even if XLTOOL has been advised of such damages.

In any case, XLTOOL’s liability shall be limited exclusively to replacement of the Software or a refund of the purchase price, at XLTOOL’s discretion. These limitations apply regardless of the form of action, whether in contract, tort, negligence, strict liability, or otherwise.

Evaluation and Registration

This Software is not free software. XLTOOL may provide a limited evaluation period for you to assess suitability. After this period, or if you wish to continue use, you must register by paying applicable fees. Continued use beyond the trial without registration violates this Agreement and applicable copyright laws.

Updates and Upgrades

XLTOOL may release updates or upgrades to the Software. Such updates may be governed by this Agreement or additional terms. XLTOOL reserves the right to charge fees for significant upgrades at its discretion.

Termination

This Agreement is effective until terminated. XLTOOL may terminate it immediately if you fail to comply with any term. Upon termination, you must stop using the Software and destroy all copies in your possession.

Governing Law

This Agreement is governed by the laws of India. You agree that any disputes arising under or related to this Agreement will be subject to the exclusive jurisdiction of the courts of India.

Entire Agreement

This Agreement represents the complete agreement between you and XLTOOL regarding the Software, superseding any prior agreements or communications. No amendment or modification shall be binding unless in writing signed by XLTOOL.

Acceptance

By downloading, installing, or using the Software, you confirm your acceptance of these terms. If you do not agree, do not use the Software.
